Terms of Service

1. Agreement and eligibility

These Terms are an agreement between you and Bigbee Solutions LLC, doing business as LyricPatch. By creating an account, uploading audio, purchasing credits, or using LyricPatch, you agree to these Terms, the Privacy Policy, Acceptable Use Policy, and any checkout terms shown to you. You must be at least 18 years old and legally able to enter this agreement.

2. What LyricPatch provides

LyricPatch is a general-purpose audio editing service that can transcribe a selected vocal phrase, synthesize replacement lyrics, blend an accepted take into the selected region, and export an edited file. Results are probabilistic and may be inaccurate, unintelligible, musically imperfect, or unsuitable for your intended use.

3. Your rights and warranties

You retain whatever rights you have in material you upload. You give LyricPatch a limited, non-exclusive license to host, decode, separate, transcribe, transform, synthesize, mix, and return that material solely to provide and secure the service during the project retention window.

Each time you upload or generate, you represent and warrant that you have every permission required for:

• the master sound recording and any sampled or embedded recording;
• the musical composition and both original and replacement lyrics;
• the recorded performance and the right of publicity, privacy, and voice rights of every identifiable person;
• your intended editing, generation, download, publication, distribution, advertising, and commercial use; and
• any consent required to create a synthetic or altered performance.

You are responsible for your uploads, prompts, target lyrics, generations, exports, and downstream use. A warning, checkbox, or tool feature does not grant rights you do not already have.

4. Prohibited conduct

You may not use LyricPatch to infringe rights, impersonate a person without authorization, deceive audiences about a real person’s participation, create illegal sexual content, manipulate elections, bypass safeguards, distribute malware, abuse free credits, overload the service, or violate the Acceptable Use Policy or applicable law.

5. Private projects and deletion

Projects are private by default. Audio, separated stems, transcripts, lyrics, previews, generations, and exports are scheduled for deletion 24 hours after project creation. Deletion from active systems may not immediately remove encrypted disaster-recovery fragments that are inaccessible in ordinary operations and expire through normal backup rotation. Do not use LyricPatch as permanent storage.

LyricPatch does not retain reusable voice embeddings and does not train models on your uploads.

6. Credits, generations and downloads

• One credit pays for one generated second, rounded up to the next whole second.
• Every retry or new seed is a new generation and a new charge.
• Credits are reserved when a job starts and finalized only when it succeeds. Failed or cancelled jobs automatically restore the reservation.
• Preparing each new finished-song MP3 or WAV export costs 5 credits, shown before you confirm. A different format or an updated song requires a new export. A successfully prepared file is charged whether or not you save it.
• Re-downloading an existing ready file and refreshing its private link do not use additional credits while the project is available. Files prepared before this pricing change are not charged retroactively.
• Uploading, initial audio preparation, transcription, lyric drafting, applying and undoing versions do not use credits.
• New accounts do not receive a free starting-credit grant. Previously issued promotional grants retain their original amount and expiration.
• Paid credits do not expire, cannot be transferred, have no cash value, and are not a bank account or stored-value product.

7. Purchases and refunds

Credit packs are one-time purchases processed by Stripe. Prices and taxes, if any, are shown at checkout. Except where law requires otherwise, used promotional credits and successfully consumed generation or export credits are not refundable. Contact support for duplicate charges, missing credits, or a material service failure. Chargebacks or payment abuse may suspend an account while investigated.

8. Outputs

As between you and LyricPatch, LyricPatch claims no ownership in your generated output, subject to the rights of others and applicable law. Similar or identical output may be generated for different users. LyricPatch does not warrant that output is copyrightable, non-infringing, exclusive, accurate, or cleared for any purpose.

9. Intellectual-property complaints

LyricPatch responds to valid copyright notices, voice-owner complaints, and other rights reports. We may remove material, terminate jobs, preserve evidence when legally required, and suspend repeat infringers. See the DMCA & complaints page for instructions.

10. Suspension and termination

We may limit or terminate access when reasonably necessary to address a legal request, safety risk, policy violation, fraud, nonpayment, technical threat, or repeated infringement. You may stop using the service and request account deletion at any time. Sections that by their nature should survive—including payment, warranty, liability, and dispute provisions—continue after termination.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYRICPATCH IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ERROR-FREE OPERATION. YOU ARE RESPONSIBLE FOR REVIEWING EVERY OUTPUT BEFORE USE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYRICPATCH AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, REPUTATIONAL HARM, OR THIRD-PARTY CLAIMS. OUR AGGREGATE LIABILITY FOR A CLAIM WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID LYRICPATCH IN THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so they apply only to the extent permitted.

13. Indemnity

You will defend, indemnify, and hold harmless LyricPatch and its operators from third-party claims, damages, costs, and reasonable legal fees arising from your uploads, lyrics, outputs, downstream use, violation of these Terms, or infringement of another person’s rights.

14. Governing law and changes

These Terms are governed by the laws of Arizona and applicable United States federal law, without regard to conflict-of-law rules. Mandatory consumer protections in your home jurisdiction still apply. Material updates will be posted with a new effective date, and continued use after notice constitutes acceptance where permitted.
